This Agreement constitutes permission from the Women’s Alliance, a D.C. Corporation located at 1575 Eye Street, NW, Suite 1200, Washington, D.C. 20005 for access to information contained on its Member’s Only Intranet site (“Site”) and will become effective upon acceptance by you. By pressing the “ACCEPT AND CONTINUE” button, you are agreeing to abide by the terms and conditions below. The Women’s Alliance may automatically amend this Agreement at any time by sending the amended terms to the e-mail address you provide. Such amendments will be effective when sent. If you do not wish to accept the terms of this Agreement, press the “DECLINE” button below and you will not be permitted to access the Site. “You” refers to the organization entering into this Agreement, including controlled or affiliated organizations listed. Organization and Affiliates Name/Title Address E-mail address Upon the acceptance of this Agreement, The Women’s Alliance hereby grants to you and you accept the right to access the Site including access to message boards, information and additional benefits which may be added in the future. You may not disclose your membership password to any third parties. You acknowledge The Women’s Alliance’s ownership of the information contained on the Site. Nothing in this Agreement shall give you any right to share information included on the Site with anyone other than those permitted to use the Site. Information contained on the Site may not be used for commercial purposes. You agree not to use information obtained from the Site in any way that would disparage or injure The Women’s Alliance’s reputation. The Women’s Alliance shall have the right to terminate this Agreement with cause immediately if it determines, in its sole discretion, that you have materially breached the Agreement. The Women’s Alliance may terminate this Agreement for any reason upon sixty (60) days prior written notice. The Women’s Alliance is not responsible for the content of any other website linked to or from the Site. The Women’s Alliance may provide links from the Site to other websites, but this is done solely as a convenience to you and in no way should be interpreted as an endorsement of any content, sponsor or owner of any other website. Upon the Women’s Alliance request you agree to defend, indemnify and hold harmless The Women’s Alliance and its affiliates, representatives, officers, directors and employees from all liabilities, claims, costs and expenses, including attorney fees, that arise out of or in connection with your use of the Site. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof.
